Pursuant to SEBI Circular No. SEBI/HO/CFD/CFD-PoD-2/CIR/P/2024/185 dated 31st December 2024 read with BSE Circular No. 2025102-4 please find enclosed the Integrated Filing (Financial) for the quarter and nine months ended on 31st December 2024.The meeting of the Board of Directors of the Company started at 6:45 P.M. and ended at 7:30 P.M.

Pursuant to Regulation 30 and 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 (SEBI Listing Regulations) it is hereby informed that the Board of Directors at its meeting held today i.e. 14th February 2025 has inter-alia considered and approved the following:1. Based on the recommendation of Audit Committee the Un-Audited Financial Results of the Company for the quarter and nine months ended as on 31st December 2024 along with Limited Review Report issued by the Statutory Auditor of the Company. A copy of the same is enclosed herewith as Annexure - I.The meeting of the Board of Directors of the Company started at 6:45 P.M. and ended at 7:30 P.M.

GEE LTD.has informed BSE that the meeting of the Board of Directors of the Company is scheduled on 14/02/2025 inter alia to consider and approve Pursuant to Regulation 29 of Listing Regulations we wish to inform you that a meeting of the Board of Directors of the Company will be held on Friday 14th day of February 2025 to inter alia consider and approve unaudited financial results for the quarter ended 31st December 2024.In terms of the Companys Code of Conduct for Prevention of Insider Trading the Trading Window for dealing in the securities of the Company is closed from Wednesday 1st January 2025 till Sunday 16th February 2025 (both days inclusive) for the purpose of financial results.

In accordance with Regulation 74(5) of the SEBI (Depositories and Participants) Regulations 2018 please find enclosed herewith Certificate received from MUFG Intime India Private Limited (erstwhile known as Link Intime India Private Limited) Registrar and Share Transfer Agent (RTA) for the quarter ended December 31 2024 and we hereby confirm that the Company and/or the RTA had received request for demat from 01.10.2024 to 31.12.2024. The securities comprised in the said Certificate(s) of Security have been listed on the Stock Exchanges; and the said Certificate(s) after due verification have been mutilated and cancelled and the name of the depository has been substituted in our records as the registered owner.

The SEBI (PIT) (Second Amendment) Regulations 2019 has mandated the closure of trading window from the end of every quarter till 48 hours after the declaration of Financial Results. In view of the aforesaid it is hereby intimated that the trading window of the Company has been closed with effect from closure of trading hours on BSE from December 31 2024 and shall be opened 48 hours after the declaration of Unaudited Financial Results of the Company for the quarter ended December 31 2024.
