We herewith enclose the certificate under Regulation 74(5) of the SEBI (Depositories and Participants) Regulations 2018 for the quarter ended 31st March 2025 received from the Maheshwari Datamatics Private Limited Registrar and Share Transfer Agent of the Company.This is for your kind information & records.

In continuation to our letter dated 15th January 2025 with respect to disinvestment of the Companys equity stake in Amora Tiles Private Limited (ATPL) Subsidiary Company of the Company we hereby inform that the Company has completed the disinvestment of its entire stake of 51.00% of the total paid-up capital of ATPL for a consideration of INR 92820000/- in accordance with the Termination Agreement. Consequently ATPL ceases to be a subsidiary of the Company.The disclosure requirements in relation to the aforesaid divestment pursuant to Regulation 30 read with Schedule III of the SEBI Listing Regulation and SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/2023/120 dated July 11 2023 and other requisite details forms part of the disclosure filed with the Stock Exchanges on 15th January 2025.

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 (Listing Regulations) and in continuation of our intimations dated 25th August 2023 22nd January 2024 and 16th August 2024 we would like to inform that the Company has further invested Rs. 102000000/- (Rupees Ten Crores and Twenty Lakhs Only) in M/s Sudha Somany Ceramics Private Limited (SSCPL) a Subsidiary of the Company towards the acquisition of 11% Cumulative Redeemable Preference Shares of Rs. 10/- each by way of right issue on 26th March 2025. Disclosure in relation to the aforesaid investment and as required under Regulation 30 read with Schedule III of the SEBI Listing Regulation and SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/2023/120 dated July 11 2023 are enclosed as Annexure A.The aforesaid information can also be accessed on the website of the Company at www.somanyceramics.com.

Pursuant to Regulation 30 read with Schedule III of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations 2015 we hereby inform that CRISIL Ratings Limited vide its letter dated 25th March 2025 have reaffirmed the credit ratings for the debt instruments/facilities for the Company (Long term bank facilities Short term bank facilities). The Rating Letter published by CRISIL Ratings Limited is enclosed herewith in Annexure.

Pursuant to provisions of SEBI (Prohibition of Insider Trading) Regulations 2015 as amended from time to time and Companys Code of Conduct to Regulate Monitor and Report Trading by Designated Persons and Immediate Relatives of Designated Persons (the Code) we wish to inform that the trading window for dealing in securities of the Company shall remain closed from Tuesday 1st April 2025 till Forty-Eight (48) hours after the declaration of Audited Financial Results of the Company for the quarter and financial year ending on 31st March 2025 for Designated Persons of the Company and their immediate relatives as covered under the Code.
