As per Regulation 15(2) of SEBI (Listing Obligation and Disclosure Requirement) Regulation 2015 (SEBI Listing Regulations) as Corporate Governance provision specified in Regulation 17 17A18 19 20 21 22 23 24 24A 25 26 26A 27 and clauses (b) to (i) and (t) of sub-regulation (2) of regulation 46 and para C D and E of Schedule V shall not apply to listed entities having Paid up Equity Share Capital not exceeding Rupees 10 Crores and Net Worth not exceeding Rupees 25 Crore as on the last day of previous financial year. Since Companys Paid-up Share Capital and Networth as at March 31 2025 was below aforesaid threshold the requirement of submission of Annual Secretarial Compliance Report under Regulation 24A of SEBI Listing Regulations for the year ended March 31 2025 will note be applicable to the Company.

We would like to inform you that pursuant to SEBI (Prohibition of Insider Trading) Regula-tions 2015 and Companys Code of Conduct for Prohibition of Insider Trading the Trading Window for dealing/trading in securities of the Company by all Directors Promoters and Designated Persons of the Company and their immediate relatives including representative of Statutory Auditors of the Company shall remain closed with effect from Closing hours of March 31 2025 till 48 hours after the declaration of Unaudited Financial results of the Com-pany for the fourth quarter of FY 2024-25 and year ending on March 31 2025. The date of the Board meeting to consider and approve the Unaudited Financial Results of the Company for the fourth quarter of FY 2024-25 and year ending on March 31 2025 will be intimated in due course of time.

In line with recent amendment to SEBI Listing Regulations we further disclose the following for the 3rd quarter of FY 2024-25 and nine months ended on 31st December 2024(i) Statement on Deviation or Variation for Proceeds of Issues - Not Applicable as there was no fund raise by the Company(ii) Disclosure of outstanding default on loans and debt securities - Not Applicable as there is no default(iii) Disclosure of Related Party transaction - Not Applicable for the period(iv) Statement of impact of Audit Qualification for Audit Report with Modified Opinion - Not Applicable as the Auditors report is not with Modified Opinion The Board Meeting commenced at 06:45 p.m. & concluded at 07:15 p.m
