Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 we wish to inform you that Nomination and Remuneration Committee of the Board of Directors of the Company on Tuesday April 01 2025 by circular resolution has in accordance with the terms of ESOP - 2020 Scheme allotted 42692 equity shares of face value Rs. 2/- each in the share capital of the Company for cash at par to the eligible employees of the Company who exercised their stock options under ESOP-2020. These shares shall rank pari passu in all respects with the existing equity shares of the Company. After allotment of aforesaid equity shares the share capital of the Company stands increased from 554047626 to 554133010.We request you to take the above on record.

We refer to the letter dated 21st May 2024 intimating about the approval granted by the Board of the Company vide board resolution dated 21st May 2024 for proposed Scheme of Amalgamation under section 232 read with Section 230and other applicable provisions of the Companies Act 2013 and the rules and regulations made thereunder for amalgamation of YFCPL with and into Laxmi Organic Industries Limited subject to approval NCLT Mumbai Bench. Pursuant to Regulation 30 of SEBI (LODR) Regulations 2015 we inform you that the Honble National Company Law Tribunal (NCLT) Mumbai Bench vide its order dated 27th February 2025 has approved the Scheme. The certified true copy of the order was received by the Company on 19th March 2025 and the same shall be filed with Registrar of Companies Mumbai by the Company and the Transferor Company as per the applicable laws. Accordingly the scheme shall become effective upon filing of the same with the Registrar of Companies Mumbai.
