We are enclosing herewith the Compliance Certificate under Regulation 74(5) of SEBI (DP) Regulations 2018 received from M/s Alankit Assignments Limited Registrar and Share Transfer Agent of the Company for the period from 01 Jan 2025 to 31 Mar 2025.

In terms of Reg 30 and other applicable provisions of SEBI(LODR) Reg 2015 we wish to inform you that the Company has received a Letter of Award on 08 Apr 2025 for the Construction and Delivery of two Coastal Research Vessel for the Geological Survey of India. The value of the award is Rs. 489.98 crore.The company will execute the contract with the Geological Survey of India in due course and the same will be duly intimated to the Stock Exchanges later on.

In terms of Reg 30 and other applicable provisions of SEBI (LODR) Reg we wish to inform you that the Company has entered into non-binding MoU with M/s SWAN Defence and Heavy Industries Ltd to boost Indigenous Commercial Shipbuilding capabilities. In this regard the copy of the press release is enclosed as Annexure-I.

In terms of Reg 30 of SEBI (LODR) Regulations 2015 we wish to inform you that Shri Sanjeeb Mohanty (DIN: 09559883) was appointed as a Part-Time Non-Official Director (Independent Director on the Board of the Company effective from 06 Apr 2022 for a period of three years by the Ministry of Defence Government of India vide its letter dated 25 Mar 2022. The three-year tenure of Shri Sanjeeb Mohanty concluded on 05 Apr 2025.Accordingly Shri Sanjeeb Mohanty ceased to be an Independent Director of the Company with effect from 06 Apr 2025.

Pursuant to Reg 8 (2) of SEBI (PIT) Reg 2015 and any other provisions as may be applicable we wish to inform that the Board of Directors of the Company at its meeting held on 02 Apr 2025 approved the revised Code of Conduct for prevention of Insider Trading and Fair Disclosure of Unpublished Price sensitive Information (Insider Trading Code) for implementation in the Company.The amended copy of the Insider Trading Code is enclosed herewith and the same is also available on the website of the Company.This is for your information and record.
