Initial public offer of 3,393,425 equity shares of face value of Rs. 10 each (the equity shares) of Dixon Technologies (India) Limited, (the company or the issuer) for cash at a price of Rs. 1766 per equity share (including a share premium of Rs. 1756 per equity share) (the offer price) Aggregating Rs. 599.28 crores (the offer). The offer comprises of a fresh issue of 339,750 equity shares aggregating to Rs.60 crores by theCompany (the fresh issue) and an offer for sale of up to 3,053,675 equity shares consisting of 634,368 equity shares by sunil vachani (the promoter selling shareholder), 1,446,201 equity shares by India Business Excellence Fund I and 495,313 equity shares by india business excellence fund (the investor selling shareholders), and 477,793 equity shares by Atul B Lall, Kamla Vachani, Geeta Vaswani, Sunita Mankani and Shobha Sippy (the other selling shareholders) (the promoter selling shareholder, investor selling shareholders and Other selling shareholders collectively, the selling shareholders) aggregating Rs.539.28 crores (the offer for sale). The offer shall constitute 29.96% of the fully diluted post offer paid-up equity share capital of the company.Offer price: Rs.1766 per equity share of face value of Rs.10 each.The offer price is 176.60 times the face value.

Repayment/pre-payment, in full or in part, of certain Borrowings availed by the company. Setting up a unit for manufacturing of LED TVs at the Tirupati facility. Finance the Enhancement of the backward integration capabilities in the Lighting Products vertical at the Dehradun I facility. Upgradation of the Information Technology infrastructure of the Company. General Corporate Purposes.
