Further to our letter dated March 18 2025 and pursuant to Order of the Honble NCLT and provisions of Regulation 30 read with Para A of Part A of Schedule III of SEBI Listing Regulations attached herewith is the Notice (including e-Voting instructions) convening Meeting of Equity Shareholders of the Company scheduled to be held on Tuesday May 13 2025 at 3.00 p.m. IST through Video Conferencing to consider and if thought fit approve the Scheme of Arrangement and Amalgamation between Sonmil Industries Private Limited The Dukes Retreat Private Limited and Chalet Hotels Limited and their respective Shareholders and Creditors pursuant to applicable provisions of Companies Act and Rules thereunder in line with relevant circulars issued by MCA and SEBI.

This is to inform you that as per the SEBI (Prohibition of Insider Trading) Regulations 2015 and Companys Code of Conduct the Trading Window for dealing in the Companys securities by all Designated Persons and their Immediate Relatives will be closed for the purpose of declaration of Audited Financial Results for the quarter and Financial Year ended March 31 2025 with effect from Tuesday April 1 2025 upto the expiry of 48 hours after the declaration of the said Financial Results.

Pursuant to the provisions of Regulation 30 of the Listing Regulations the Finance Committee of the Board of Directors have considered and approved the allotment of 7500 Non Convertible Debentures aggregating to Rs.75.08 crore on a Private Placement basis.
